These Terms of Service (these “Terms”) govern your access to and use of VantageSpan (the “Service”), including the website at VantageSpan.app and any related applications and interfaces. VantageSpan is a software service operated by Hooker Building, LLC. (“VantageSpan,” “we,” “us,” or “our”) provides the Service to builders and their invited customers and project representatives. By creating an account or using the Service, you agree to these Terms.
1. Eligibility
You must be at least eighteen (18) years of age to use the Service. By using the Service you represent that you are at least 18 years old and are otherwise legally able to enter into a binding agreement.
2. Authority to Subscribe for a Company
If you subscribe on behalf of a company or other organization, you represent that you have the legal authority to bind that organization to these Terms, and references to “you” in these Terms include your organization.
3. Your Account and Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly at support@vantagespan.app of any unauthorized use of your account or any other security concern.
4. Builder Responsibility for Invited Users
A Builder who invites customers, project representatives, or other users to a project is responsible for those invitations and for the access granted to those users. Builders are responsible for ensuring that invited users are appropriate and that any customer or project information shared through the Service is shared accurately and with proper authorization.
5. User Data and Permission to Process
You retain ownership of the data, documents, project information, and other content you submit to the Service (“User Data”). You grant VantageSpan permission to host, store, process, and display your User Data as necessary to operate, maintain, and improve the Service for you. VantageSpan processes User Data on your behalf to provide the Service.
6. Responsibility for Customer and Project Information
Builders are responsible for the accuracy of customer and project information they enter, upload, or share through the Service, including costs, invoices, funding, selections, change authorizations, and documents. VantageSpan does not independently verify this information against your contracts, lender records, or other source documents.
7. Accuracy of Project Information and Construction/Financial Calculations
VantageSpan displays calculations, summaries, and projections based on information and assumptions you enter. These outputs are planning estimates only. They are not guarantees of actual cost, profit, financing, closing proceeds, or construction outcomes, and they are not a substitute for your contracts, lender or accounting records, estimates from qualified trades, or other source documents. You must verify material figures against those source documents.
Construction and Financial Calculation Disclaimer
Construction cost tracking, funding, draw, loan, builder-fee, and projected-job-profit figures shown in VantageSpan depend entirely on the data entered and the assumptions described within the Service. They may be incomplete or inaccurate if any entered value is wrong or missing. VantageSpan is not responsible for reliance on these figures without independent verification.
Smart Budget Disclaimer
Smart Budget generates budget estimates from builder-specific pricing assumptions and project characteristics. Smart Budget outputs are estimates only and are not a guarantee of actual construction cost or of any particular cost per square foot. Actual costs vary based on design, site conditions, finishes, market conditions, and many other factors.
Deal Analyzer Disclaimer
The Deal Analyzer provides projections for potential deals based on the inputs you enter. Deal Analyzer outputs are estimates only and are not guarantees of profit, margin, sale price, or feasibility. They are not legal, tax, accounting, financial, lending, engineering, or architectural advice.
No Legal, Tax, Accounting, Financial, Lending, Engineering, or Architectural Advice
The Service does not provide legal, tax, accounting, financial, lending, engineering, or architectural advice. Construction and financial outputs are informational only. You should consult qualified professionals for advice specific to your situation.
No Guarantees of Costs, Profit, Financing, or Construction Outcomes
VantageSpan does not guarantee any construction cost, profit, financing, draw, loan, closing proceed, or construction-timeline outcome. All figures are estimates based on entered information and assumptions.
8. Subscription and Billing
New VantageSpan Builders may begin with a 10-day free trial. No credit card or payment method is required to start the trial, and no subscription fee is charged during the trial. When the trial ends, access may pause unless the Builder chooses to continue with paid VantageSpan. Current Founding Builder pricing is $99/month or $990/year. The annual option saves $198 compared with twelve monthly payments. Your selected Founding Builder rate remains in place while the subscription remains continuously active. Standard monthly pricing for future subscribers is $149/month.
- Free trial. The 10-day trial does not require a payment method and does not automatically create a paid subscription.
- Paid service. If you choose to continue after the trial, you enter payment information and choose monthly billing at $99/month or annual billing at $990/year.
- Annual renewal. Annual service is billed in advance and automatically renews each year unless canceled before the renewal date. VantageSpan is designed to send courtesy reminders before annual renewal.
- Cancellation. Monthly cancellation is effective at the end of the current monthly period. Annual cancellation is effective at the end of the current annual period and prevents the next annual renewal. If a new Founding Builder later returns after the Founding Builder offer has ended, the then-current rate may apply unless separate legacy terms apply to that account.
- Legacy commitments. Any six-month commitment already accepted before the current offer change remains governed by the terms that applied when that commitment began. New signups under the current offer do not begin a six-month commitment.
Payments are processed by Stripe, our payment processor. More detail is in the Subscription, Billing, Cancellation & Refund Policy.
Failed Payments and Suspension
If a payment fails, you may receive notices and the payment may be retried. You may have an opportunity or grace period to resolve the problem before access is affected. If a payment issue is not resolved, your access to the Service may be suspended. We will not promise a fixed grace-period length in these Terms; the actual behavior is described in the Service and the billing policy where applicable.
Refunds
Payments are generally non-refundable, except for verified billing errors, circumstances expressly approved by VantageSpan, or where required by applicable law. This policy is not intended to be punitive. See the billing policy for additional detail.
Data Preservation After Suspension
If your subscription is suspended or canceled under ordinary circumstances, your project and customer data is preserved and may be restored when you resubscribe. We do not promise indefinite retention of data after a subscription ends or is suspended.
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms;
- Enter or upload content you do not have the right to enter or upload;
- Interfere with or disrupt the Service, its servers, or its security;
- Attempt to gain unauthorized access to the Service, other accounts, or data;
- Use the Service to store or transmit infringing, abusive, or harmful content; or
- Reverse engineer, decompile, or otherwise attempt to extract source code from the Service.
10. VantageSpan Intellectual Property
The Service, including its software, design, text, logos, and brand, is owned by VantageSpan and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to use the VantageSpan name, logos, or brand except as necessary to use the Service as offered.
11. Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant VantageSpan a royalty-free, worldwide, transferable, sublicensable license to use that feedback without restriction. We may use feedback to improve the Service without any obligation or compensation to you.
12. Third-Party Services
The Service may interact with third-party services, including Stripe for payment processing and Base44 as an infrastructure and service provider. VantageSpan is not responsible for the acts or omissions of third-party services, and their availability and behavior are subject to their own terms and policies.
13. Availability and Maintenance
We strive to keep the Service available but do not guarantee uninterrupted access. The Service may be unavailable during maintenance, updates, outages, or events outside our control.
14. Beta and New Features
Some features may be offered as beta or may change as we develop the Service. Beta or new features may be modified, limited, or discontinued, and may contain errors or not perform as expected. You use them at your discretion.
15. Security and Backups Limitations
We take reasonable measures to help protect the Service, but no system is perfectly secure. We cannot guarantee that information will never be compromised. While we may maintain backups, we do not guarantee that all data can always be recovered without loss in every circumstance.
16. Professional Responsibility
VantageSpan is a tool to help you organize and estimate project information. It does not replace the professional judgment, licensing, or contractual responsibilities of builders, trades, lenders, accountants, attorneys, architects, engineers, or other professionals involved in a project. You remain responsible for the conduct and quality of your work.
17. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VANTAGESPAN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR ACCURATE.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VANTAGESPAN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE. VANTAGESPAN’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO the amount you paid to VantageSpan during the twelve (12) months immediately preceding the event giving rise to the claim.
19. Indemnification
You agree to defend, indemnify, and hold harmless VantageSpan and its affiliates, officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your User Data, your use of the Service, your violation of these Terms, or your violation of any third-party rights.
20. Termination
You may stop using the Service at any time, subject to any unpaid commitment amounts. VantageSpan may suspend or terminate your access if you violate these Terms or if your subscription is canceled or suspended under the billing policy. Upon termination, your right to use the Service ends, although your data may be preserved as described above.
21. Service Discontinuation
We may modify, limit, or discontinue the Service, or any feature of it, in the future. If we materially discontinue the Service, we will use reasonable efforts to provide notice where practical. These Terms do not guarantee that the Service will continue indefinitely.
22. Disputes — Informal Resolution, Then Binding Arbitration
Informal Resolution First
If you have a dispute with VantageSpan, you agree to first contact us at support@vantagespan.app and attempt in good faith to resolve the dispute informally for at least thirty (30) days before pursuing other remedies.
Binding Individual Arbitration
Except for claims that may be brought in small-claims court and claims for emergency equitable relief, any dispute or claim that is not resolved informally will be resolved by final and binding individual arbitration rather than in court, and you waive any right to participate in a class action or class-wide arbitration. This does not prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual-property rights or for emergency relief.
23. Governing Law and Venue
These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws principles. For any court proceeding permitted under these Terms (including small-claims matters and emergency relief), you and VantageSpan consent to the exclusive venue of the state and federal courts located in Whitfield County, Georgia.
24. Changes to These Terms
We may update these Terms from time to time. We will indicate the Effective Date above. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
